Preamble
These General Terms of Sale and Use (the “Terms”) govern the contractual relationship between:
– Vodalis Limited, a private limited company under the laws of England and Wales, registered under number 06053806 with Companies House of England and Wales, with its registered office at 4 Imperial Place, Maxwell Road, Borehamwood, Hertfordshire, England, WD6 1JN, operating the taxi.club website (the “Provider”, “We” or “Taxi.club”),
and – any adult natural person or legal entity who subscribes to the Service, accesses the Site or creates an account on it (the “Customer”, “User” or “You”).
Use of the Service implies full, complete and unreserved acceptance of these Terms. The Customer acknowledges having read them before any subscription. Failing acceptance, the Customer must refrain from using the Service. The Service is intended for an international clientele, in particular residents of the United Kingdom and of the member states of the European Economic Area. These Terms apply equally to all Customers, subject to the mandatory consumer-protection provisions in force in their country of habitual residence, as set out in Article 18.
Article 1 — Definitions
In these Terms, the following terms have the following meanings:
- Service: all the services offered by Taxi.club, in particular booking assistance for taxis, restaurants, hotels, transport and events through a human concierge, 24/7 priority support and personalised assistance.
- Site: the website accessible at https://taxi.club and all its subdomains, as well as the connected member area.
- Account: the personal area created by the User upon registration.
- Subscription: the recurring subscription to the Service giving access to all features.
- Activation: the initial activation of the Service at the price of €0.10, refundable within 72 hours.
- Consumer: any natural person acting for purposes outside their commercial, industrial, craft, professional or agricultural activity.
- Party/Parties: the Provider and/or the Customer.
Article 2 — Purpose
These Terms set out the conditions under which the Provider supplies the Customer with the concierge booking-assistance Service and associated services (support, alerts, concierge), in exchange for payment of a subscription.
Taxi.club is an independent technical intermediation service. The Provider is neither a taxi operator, nor a travel agency, nor a carrier. The course fare is paid directly to the driver and is never collected by the Provider.
Article 3 — Legal capacity and registration
3.1 Capacity. The Service is reserved for persons who have reached the legal age of majority in their country of residence and who have full legal capacity to contract, or for legal entities acting through a duly authorised representative. The User warrants the accuracy of the information provided at registration.
3.2 Account creation. Registration involves: providing accurate, complete and up-to-date information; creating login credentials (email and password); and expressly accepting these Terms and the Privacy Policy. The Customer is solely responsible for the confidentiality of their credentials and for any activity carried out from their Account. They undertake to report any unauthorised use to the Provider without delay.
3.3 Refusal or suspension. The Provider reserves the right to refuse registration, or to suspend or close any Account in the event of a breach of these Terms, the provision of incorrect information, fraudulent use of the Service or non-payment.
Article 4 — Description of the Service
4.1 Booking assistance. The Provider assists the Customer, through a human concierge, in arranging bookings for taxis, restaurants, hotels, transport and events. The concierge acts as an intermediary; any third-party service booked through it is governed by the terms of the relevant third-party provider.
**4.2 Priority support.** A customer-support service is available 24/7 by email at contact@taxi.club or via the contact form on the Site.
**4.3 Alerts and information.** Notifications may be sent to the Customer for information purposes only. They do not replace official information published by the competent authorities or by the relevant providers.
4.4 Limits of the Service. The Service is a technical assistance service. Its effectiveness depends on factors beyond the Provider's control, in particular the availability of third-party services and the accuracy of the information provided by the Customer.
Article 5 — Subscription and pricing
5.1 Commercial offer. The current offer is structured as follows: Activation: €0.10 incl. tax, refundable within 72 hours; Monthly Subscription: €39.00 incl. tax per month, billed automatically once the 72-hour period expires, unless cancelled by the Customer beforehand in accordance with Article 8. Prices are shown in euros, all taxes included where value-added tax (or any equivalent tax) applies. The course fare is paid directly to the driver and is never collected by the Provider.
5.2 Automatic renewal. The Subscription is concluded for an indefinite term. After the 72-hour period, and failing cancellation under Article 8, the Subscription renews automatically each month by tacit renewal. The Customer may cancel at any time, free of charge and without penalty.
5.3 Price changes. The Provider reserves the right to change its prices at any time. Any change will be notified to the Customer by email at least thirty (30) days before it takes effect. The Customer may then cancel the Subscription before the new price applies. Failing such cancellation, continued use of the Subscription will constitute acceptance of the new prices.
5.4 Payment terms. Payment is made exclusively by bank card through an approved payment provider. The Customer expressly authorises the Provider to debit the amount due automatically at each due date from the registered payment method. In the event of a payment failure, the Provider may immediately suspend access to the Service until the situation is regularised.
5.5 Payment security. Bank details are never stored on the Provider's servers. They are processed exclusively by PCI-DSS-certified payment-service providers.
Article 6 — Right of withdrawal (Consumers)
6.1 Principle. The Consumer Customer has a legal right of withdrawal running from the conclusion of the contract. This period is fourteen (14) days for Customers residing in the European Economic Area and the United Kingdom. If the law applicable to the Customer provides for a more favourable period, that period applies automatically.
6.2 Request for immediate performance and express waiver. By ticking the corresponding box at subscription, the Customer expressly requests immediate performance of the Service before the end of the withdrawal period and acknowledges that they waive their right of withdrawal once the Service has been fully performed by the Provider with their prior express agreement.
6.3 Withdrawal during performance. If the Customer exercises their right of withdrawal during the legal period while performance has already begun at their express request but is not yet complete, they will owe an amount proportionate to the service actually provided up to the communication of their withdrawal decision.
6.4 How to exercise it. The Customer exercises their right of withdrawal by notifying the Provider of their decision by any means evidencing dispatch, in particular by email to contact@taxi.club or by post to the registered-office address. A standard withdrawal form is available on request.
6.5 Refund. Where withdrawal is validly exercised, the Provider will refund all amounts paid by the Customer, less, where applicable, the proportionate amount referred to in Article 6.3, within a maximum of fourteen (14) days of receiving the withdrawal decision, using the same means of payment as the original transaction.
Article 7 — Customer obligations
The Customer undertakes to: provide accurate, complete and up-to-date information; update it without delay if it changes; not use the Service for fraudulent, illegal or improper purposes; not attempt to circumvent, disassemble, decompile or hack the Service; respect the intellectual-property rights of the Provider and of third parties; and comply with the law applicable in their country of residence.
The Customer remains solely responsible for the consequences of incorrect, incomplete or late information.
Article 8 — Cancellation
8.1 Cancellation by the Customer. The Customer may cancel the Subscription at any time, free of charge and without justification, by: their personal area (“My account” > “Subscription”); by sending an email to contact@taxi.club; or by using the dedicated function at https://taxi.club/cancellation. Cancellation takes effect at the end of the current paid monthly period.
8.2 Cancellation by the Provider. The Provider may cancel the Subscription as of right, without notice, in the event of a substantial breach by the Customer, unremedied non-payment, fraudulent or abusive use of the Service, or provision of false information. In other cases, the Provider may cancel the Subscription on thirty (30) days' notice by email.
8.3 Consequences of cancellation. Upon cancellation, access to the Service is disabled. The Customer's data is retained or deleted in accordance with the Privacy Policy and applicable legal obligations.
Article 9 — Liability
9.1 Best-efforts obligation. The Provider is subject to a best-efforts obligation and not an obligation of result. It undertakes to take all reasonable precautions to perform the Service professionally and in accordance with industry standards.
9.2 Exclusions of liability. To the extent permitted by applicable law, the Provider cannot be held liable for any direct or indirect damage resulting from: inaccurate, incomplete or late information provided by the Customer; any failure, unavailability or change in third-party providers' systems or policies; the use of third-party services booked through the concierge, which are governed by the terms of the providers concerned; an event of force majeure as defined in Article 15; or any temporary interruption of the Service for maintenance or technical reasons.
9.3 Liability cap. To the fullest extent permitted by the law applicable to the Customer, the Provider's total liability to the Customer, on any basis whatsoever, is expressly limited to the amounts actually paid by the Customer under the Subscription during the twelve (12) months preceding the event giving rise to the damage. In no event will the Provider be liable for indirect, intangible or consequential damage. Nothing in these Terms is intended to exclude or limit the Provider's liability where applicable law does not permit such exclusion or limitation.
9.4 Claims against third parties. Any claim relating to a third-party service itself must be addressed directly to the relevant provider, in accordance with the applicable terms.
Article 10 — Intellectual property
All elements of the Site and the Service — including, without limitation, the “Taxi.club” trademark, the logo, texts, illustrations, photographs, videos, databases, software, source code, interfaces and domain names — are the exclusive property of the Provider or its licensors, and are protected by intellectual-property law. Any reproduction, representation, modification, publication or exploitation, in whole or in part, is strictly prohibited without the prior written authorisation of the Provider.
The Provider grants the Customer, for the duration of the Subscription, a personal, non-exclusive, non-transferable and revocable licence to use the Service for strictly private purposes and in accordance with these Terms.
Article 11 — Personal data
The processing of the Customer's personal data is carried out in accordance with the applicable data-protection regulations, in particular the General Data Protection Regulation (Regulation (EU) 2016/679, “GDPR”) for Customers residing in the European Economic Area, the UK GDPR and the Data Protection Act 2018 for Customers residing in the United Kingdom, and any other applicable local law. The detailed terms of these processing operations are set out in the Privacy Policy, which forms an integral part of these Terms. The Customer has rights of access, rectification, erasure, restriction, objection and portability, and, where applicable, the right to withdraw consent and to lodge a complaint with the competent supervisory authority. These rights may be exercised by writing to contact@taxi.club.
Article 12 — Cookies
The Site uses cookies and other trackers whose characteristics are described in the Privacy Policy. The Customer may set their preferences at any time, in accordance with the law applicable in their country of residence.
Article 13 — Customer service and complaints

Article 14 — Amicable resolution and mediation
14.1 Attempt at amicable settlement. In the event of a dispute, the Customer is invited, before any legal action, to contact the Provider's Customer Service to seek an amicable solution.
14.2 Consumer mediation. The Consumer Customer may, in the event of an unresolved dispute after a prior written complaint, have recourse to consumer mediation or an out-of-court dispute-resolution scheme available in their country of residence, in accordance with applicable law.
14.3 Online dispute-resolution platform. For Consumer Customers residing in the European Union, the European Commission provides an online dispute-resolution (ODR) platform at: https://ec.europa.eu/consumers/odr.
Article 15 — Force majeure
Neither Party may be held liable for any failure to perform its contractual obligations in the event of force majeure, understood as any external, unforeseeable and irresistible event preventing normal performance of the contract, including natural disasters, wars, terrorist attacks, epidemics, general strikes, major telecommunications or energy network failures and decisions of public authorities.
Article 16 — Amendments to the Terms
The Provider reserves the right to amend these Terms at any time. Any substantial change will be notified to the Customer by email at least thirty (30) days before it takes effect. The Customer may cancel the Subscription before the new Terms apply. Failing such cancellation, continued use of the Subscription will constitute acceptance of the new Terms. The version applicable to the Customer is the one in force on the subscription date.
Article 17 — Miscellaneous
17.1 Entire agreement. These Terms, together with the Privacy Policy, set out the entire agreement between the Parties regarding the Service.
17.2 Severability. The invalidity, illegality or unenforceability of any provision under applicable law will not affect the validity of the other provisions, which will remain in full force.
17.3 No waiver. The failure of either Party to invoke a breach of any provision will not be construed as a waiver of the right to rely on it subsequently.
17.4 Assignment. The Provider may freely assign this contract to any third party, in particular in the context of a transfer of business, merger or equivalent transaction, without prejudice to the Customer's rights.
17.5 Languages. These Terms may be available in several languages. In the event of any contradiction or divergence of interpretation between versions, the English version prevails, save for any mandatory legal provision applicable to the Customer.
Article 18 — Governing law and jurisdiction
18.1 Governing law. These Terms are governed by English law (the law of the Provider's registered office). However, where the Customer is a Consumer, this choice cannot deprive them of the protection afforded by the mandatory provisions of the law of their country of habitual residence.
18.2 Jurisdiction. A Consumer Customer may bring the dispute before the courts of their place of residence or the courts of the Provider's registered office (England and Wales). The Provider may bring an action against a Consumer Customer only before the courts of the latter's country of residence. Any dispute with a Customer acting for business purposes falls within the exclusive jurisdiction of the courts of England and Wales.
